No Guarantee Of Results:

We do not provide any guarantees of results or legal advice in regards to entrepreneurship or real estate investing, as these fields involve risk and require significant effort. By using the Services, you confirm that you can legally enter into a contract in your location. While browsing the Site does not require registration, accessing the Services, such as real estate investment offerings and presenting your own deals, does. You must register and provide accurate information, which you are responsible for updating. Failure to keep your information current could result in termination of your account. You must inform us immediately of any unauthorized account use or security breaches. You are solely responsible for the security of your Account and may not transfer it to anyone else. You acknowledge that you are liable for any damages or losses incurred by RaisingCapital.com or other Users due to your Account usage.

RaisingCapital.com provides investment-related data and content, but this should not be construed as financial, tax, legal, or investment advice or recommendations. You are solely responsible for making investment decisions and assessing associated risks. RaisingCapital.com has no special relationship with you, nor does it owe any fiduciary duty. You should perform your due diligence on any investment opportunities offered by other Users and seek professional advice as necessary.
Real Estate Investment Opportunities:
One of the Services RaisingCapital.com offers is the facilitation of real estate investment opportunities during in-person or virtual meetings (each, a “Meeting”). RaisingCapital.com does not endorse any of the opportunities offered directly by other Users, including those presented at a Meeting, nor does RaisingCapital.com make any recommendations regarding the appropriateness of particular opportunities for any investor. The presentation of real estate investment opportunities during a Meeting is for informational purposes only. Such presentation does not constitute an offer, or solicitation of an offer, to buy or sell securities, nor a recommendation to buy or sell any securities. Offers to sell, or solicitations of offers to buy, any security can only be made through official offering documents provided by the issuer, which contain important information about investment objectives, risks, fees and expenses. The terms of any investment opportunity provided by an issuer shall be negotiated and agreed to directly between the issuer and individual Users. RaisingCapital.com takes no part in the negotiation or execution of transactions for the purchase or sale of securities, and at no time has possession of or access to funds or securities. You agree and acknowledge that none of RaisingCapital.com, its officers, directors, employees, representatives, affiliates or agents, will participate in the offer to sell or solicitations of offers to buy any securities, or make a recommendation to buy or sell any securities, offered by other Users.

Although RaisingCapital.com may provide data, information or content provided by third-parties or us relating to investment strategies and/or opportunities to buy and/or sell securities, you should not interpret any such content as tax, legal, financial, or investment advice or a recommendation to invest in any real estate investment opportunity offered by other Users. Investment opportunities presented during a Meeting are speculative and involve substantial risk. Any decision to invest shall be based solely on your own consideration and analysis of the risks involving a particular offering and is made at your own risk. You acknowledge and agree that you are solely responsible for determining the suitability of an investment or strategy and accept the risks associated with such decisions, which include the risk of losing the entire amount of your principal.

Federal and state securities law and regulations restrict investment in private securities offerings. Investments in private placement are speculative and involve a high degree of risk. Investments in private placements are also highly illiquid. You should not invest with other Users unless you are willing to accept the risks associated with private investments and are able to bear the loss of your entire investment. Before you invest in any investment opportunities offered by other Users, RaisingCapital.com recommends that you consult with a financial advisor, attorney, accountant, and any other professional that can help you to understand and assess the risks associated with any investment opportunity. RaisingCapital.com is not a registered broker-dealer, investment advisor, investment manager or funding portal, and does not provide any advice, recommendations or provide any due diligence review.

As a user of RaisingCapital.com, you have the ability to share real estate investment opportunities and contribute comments or materials to the website ("User Content"). You are solely responsible for any User Content that you submit, post, transmit, or share through RaisingCapital.com, and for any consequences that may arise as a result of such content. You retain all rights to your User Content. By posting, transmitting, or sharing your User Content with RaisingCapital.com, you grant the website and its affiliates, sublicensees, partners, designees, and assignees a worldwide, non-exclusive, fully paid-up, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, prepare derivative works of, publicly display, publicly perform, and otherwise exploit your User Content and derivatives thereof for any purpose and in any media form. You also grant other users of the website a non-exclusive license to access or use your User Content for personal or commercial use.

You affirm, represent, and warrant that you either own the User Content or have the necessary licenses, rights, consents, and permissions to grant the rights and license set forth herein, and that the User Content or any use of the User Content pursuant to these Terms does not and will not: (a) infringe, violate, or misappropriate any third-party right, including any intellectual property or proprietary right; (b) violate any applicable laws, rules, or regulations (including, without limitation, United States federal and state securities laws); or (c) require RaisingCapital.com to obtain a license from or pay fees or royalties to any third party.

Securities Products and Advice Disclaimer:

The presentation of real estate investment opportunities by other Users during a RaisingCapital.com Meeting is solely for informational purposes. It is important to note that such presentations do not constitute an offer or solicitation of an offer to buy or sell securities, nor should they be considered as a recommendation to buy or sell any securities. Any offers or solicitations to buy or sell securities can only be made through official offering documents provided by the issuer, which contain critical information about investment objectives, risks, fees, and expenses. It is the responsibility of individual Users to negotiate and agree directly with the issuer on the terms of any investment opportunity provided.

Users should be aware that securities offered directly by other Users are only suitable for investors who are familiar with and willing to accept the high risks associated with private investments. Investing in private placements requires a high-risk tolerance, low liquidity need, and long-term commitments. Additionally, securities sold through private placements are not publicly traded and may be illiquid unless registered with the SEC. There may also be restrictions on resale or transfer, including holding period requirements. Users must be financially able to afford the risk of losing their entire investment, as investment products are not FDIC insured, may lose value, and have no bank guarantee.

RaisingCapital.com, its officers, directors, employees, representatives, affiliates or agents, does not offer investment advice or services, nor does it recommend, solicit or offer any securities or financial instruments for sale through its Services. The information provided through the Services is intended for informational purposes only and has been prepared without consideration of any specific User's financial situation or investment requirements. The Services may not be available in all jurisdictions or to all Users, and their use may be prohibited by applicable laws, rules, or regulations. Users are advised to seek professional investment, financial, and legal advice before making any investment decisions and should not rely on RaisingCapital.com or any of its affiliates, officers, directors, employees, representatives or agents, in making such decisions. RaisingCapital.com does not endorse any investments and is not responsible for any transactions between Users. Discussion or featuring of any offering through the Services does not constitute endorsement or representation of the quality of any potential investment, and the securities being offered directly by other Users may not be registered with the Securities Act. No assurance can be given that any offering currently qualifies or will continue to qualify under one or more exempt provisions from registration. RaisingCapital.com does not receive any commission or transaction-based compensation in connection with the purchase or sale of securities by any User and does not act as a registered broker-dealer, funding portal, investment adviser or investment manager. Users acknowledge that RaisingCapital.com makes no representation, warranty or assurance regarding the legality of any offerings presented by other Users or their compliance with federal and/or state securities laws, and that they assume all risks associated with investing in such securities.

User Interactions and Disagreements:

By using the Services, you may have the opportunity to engage with other Users who may offer you investments, investment information, advice, services, events, or other information related to various companies or organizations. Please note that these Users are independent and not affiliated with or controlled by RaisingCapital.com or its affiliates. As such, RaisingCapital.com cannot be held responsible or liable for any investments, information, advice, or services provided by these Users. Any interaction you have with other Users is solely your responsibility, and you agree that RaisingCapital.com, its affiliates, officers, directors, employees, representatives, or agents, will not be liable for any loss or damage resulting from such interactions.

If you offer any investments, information, advice, or services to other Users, you acknowledge that you are not affiliated with, controlled by, or influenced in any way by RaisingCapital.com or its affiliates, officers, directors, employees, representatives, or agents. If you have a dispute with one or more Users, you agree to release RaisingCapital.com, its affiliates, officers, directors, employees, representatives, agents, subsidiaries, and joint ventures from any and all claims, demands, and damages (actual and consequential) arising from or related to such disputes, known or unknown, forever and irrevocably.

TERMINATION:

The RaisingCapital.com reserves the right to terminate your use of the Services and these Terms at any time and for any reason without prior notice. In the event of such termination or expiration, the RaisingCapital.com may remove and dispose of any RaisingCapital.com Materials or User Content, which may no longer be accessible to you. The RaisingCapital.com has no obligation to preserve any such information in its databases or to transfer such information to you or any third party. You acknowledge and agree that the RaisingCapital.com will not be responsible or liable to you or any third party for any such termination, except as expressly stated in these Terms. In the event of termination or expiration of these Terms, any provision that by its nature or language should survive will remain in effect despite such termination or expiration.

LINKED SITES:

The Site may have links to websites operated by third parties, which are called "Linked Sites". The RaisingCapital.com provides these links only for your convenience, and their inclusion does not suggest that the RaisingCapital.com is affiliated with, sponsors, endorses, approves, investigates, verifies, or monitors any information, materials, products, or services found in or available through any Linked Site. The RaisingCapital.com will not be responsible for any information contained on any Linked Site or your use of or inability to use any Linked Site. When you choose to access Linked Sites, you do so at your own risk, and you are subject to the Linked Site's terms and policies.

INDEMNIFICATION:

You agree to protect, indemnify, and hold harmless the RaisingCapital.com, its directors, officers, employees, affiliates, representatives, and agents from any damages, including legal fees and expenses, arising directly or indirectly from your use of the Site or Services to the fullest extent allowed by law. The RaisingCapital.com may, at its sole expense, take over the exclusive defense and control of any claim or action and any negotiations for settlement or compromise, and you must cooperate with the RaisingCapital.com fully upon its request in defending any such claim, action, settlement, or compromise negotiations.

LIMITATION OF LIABILITY AND DAMAGES:

To the maximum extent permitted by law, you agree that the RaisingCapital.com and its directors, officers, employees, affiliates, and agents shall not be liable for any special, indirect, incidental, consequential, punitive, or exemplary damages arising from or related to your use of the Services or the Site, regardless of whether the RaisingCapital.com has been advised of the possibility of such damages, and even if such damages result from negligence. You acknowledge and agree that the RaisingCapital.com has provided its Services and entered into these Terms based on the disclaimers of warranties and the limitations of liability set forth herein, and that these disclaimers and limitations of liability represent a fair and reasonable allocation of risk between you and the RaisingCapital.com. These disclaimers and limitations of liability are essential to the bargain between you and the RaisingCapital.com, and the RaisingCapital.com would not be able to offer its Services to you at a reasonable cost without them. Please note that some jurisdictions may not allow the exclusion of implied warranties or limitation of incidental or consequential damages, so some of the above exclusions may not apply to you. You are responsible for checking your local laws for any restrictions or limitations regarding the exclusion of implied warranties.

The RaisingCapital.com assumes no responsibility for, and shall not be liable for, any damages to or viruses that may infect your computer equipment or other property as a result of your access to, use of, or browsing in the Site, or your downloading of any materials, data, text, images, video, or audio from the Site. We cannot guarantee that any User is an “accredited investor,” as defined by Rule 501 of Regulation D under the Securities Act of 1933, as amended.

NOTICE:

Unless explicitly stated otherwise, if you need to send legal notices to RaisingCapital.com, you should email them to Admin@RaisingCapital.com. RaisingCapital.com will provide legal notices to you through email or mailing address you provided during the account registration process, or by posting them on the Site. Once sent, a notice will be considered received 24 hours after being emailed, unless RaisingCapital.com is notified that the email address is invalid. A notice will be considered received three days after being mailed or posted on the Site. By using the Services or the Site, you agree that any notices or communications RaisingCapital.com provides to you electronically, either by email or by posting them on the Site, fulfill any legal requirement for such communications to be in writing.

ARBITRATION:

If there is any dispute or difference between you and RaisingCapital.com, including any officers, directors, or employees, in relation to the Services or any matter concerning these Terms, and you cannot come to a resolution, it will be finally settled by commercial arbitration according to the rules and regulations of the American Arbitration Association ("Association") that are in effect at that time. The parties will mutually select one or more arbitrators from the Association's commercial panel, and the arbitrator(s) must be English speaking individuals. The arbitrator(s) will have the authority to extend the time for issuing the award with the consent of both parties. The award made by the arbitrator(s) can be entered as a judgment in any court that has competent jurisdiction, and it will be final, binding, and non-appealable. The arbitrator(s) can award any remedy or relief that they consider appropriate, including money damages and injunctive relief. This arbitration provision will remain in effect even after these Terms expire or terminate. If any party fails to appear in the arbitration proceedings, the arbitrator(s) may enter an award against that party, regardless of the failure to appear. You consent to the arbitration proceedings taking place in the City of Los Angeles, State of California, and you agree that any legal action or proceeding related to these Terms will occur in the City of Los Angeles. You waive any objections that you may have based on improper venue or inconvenient forum. The arbitrator(s)' fees for the arbitration proceedings will be shared equally between the parties involved.

CHOICE OF LAW:

The Terms and your use of the Services will be governed by and interpreted under the laws of the state of Delaware, regardless of conflicts of laws provisions. You hereby waive your right to a trial by jury regarding any claim, action or proceeding, whether directly or indirectly arising from or related to these Terms of Service to the maximum extent allowed by law. You acknowledge that without this provision, you would have the right to file a lawsuit and have a trial by jury.

FORCE MAJEURE:

Neither party will be responsible for failure to perform any obligation under these Terms due to causes beyond the reasonable control of such party, including but not limited to strikes, lockouts, riots, epidemics, war, government regulation, fire, flood, natural disasters, Acts of God, or inadequacies of equipment, or other cause beyond the reasonable control of such party.

SEVERABILITY:

If any part of the Terms is found to be unenforceable, that part will be changed to the extent needed to make it enforceable while still maintaining its original meaning. If any part of the Terms is found to be unenforceable in a specific jurisdiction, it will be enforced to the maximum extent allowed in that jurisdiction, but the enforceability of the Terms in other jurisdictions and of the remaining provisions in that jurisdiction will not be affected. You also agree to replace any void or unenforceable provision of the agreement with a valid and enforceable provision that will achieve, as much as possible, the economic, business, and other objectives of the void or unenforceable provision.

ELECTRONIC SIGNATURES IN GLOBAL AND NATIONAL COMMERCE ACT/UNIFORM ELECTRONIC TRANSACTIONS ACT:
The Federal Electronic Signatures in Global and National Commerce Act (“ESIGN”) and similar state laws, particularly the Uniform Electronic Transactions Act (“UETA”) laws enable businesses to create legally binding agreements using electronic records and signatures in consumer transactions. To comply with these laws, businesses must obtain the consumer's consent to receive information electronically. When a user registers on the Site, they give their consent to transact business electronically, and the Site maintains electronic records in accordance with ESIGN and UETA regulations. By using electronic signatures to sign documents, users are bound to them in the same way as if they had physically signed them. The use of electronic documents fulfills the requirement for written documents. Users are responsible for reviewing and understanding these documents and agreeing to conduct business electronically. They agree not to contest the admissibility or enforceability of electronically stored copies of this Agreement. While electronic delivery is the preferred method, users may choose other delivery methods, and such a choice will not affect their consent. Users may also opt for paper versions and revoke their consent to electronic delivery, allowing RaisingCapital.com a reasonable period to effect the change. Users must have suitable equipment and services, such as a computer with internet access, an email address, and the ability to download, save, and print communications to retain a record of them. They are solely responsible for maintaining such equipment and services for online access.

WAIVER AND INTEGRATION:

Only the party entitled to the benefit of a provision in these Terms can waive it, and such waiver must be in writing. The failure of any party to require performance of any provision of these Terms at any time will not affect their right to enforce it at a later time. A waiver of any breach of a provision in these Terms will not be considered a waiver of other breaches of the same provision or breaches of other provisions in these Terms. These Terms of Service, along with other referenced materials, represent the entire agreement between RaisingCapital.com and you regarding the Services, superseding all previous or contemporaneous communications and proposals, whether oral, written, or electronic, and govern any future relationship.

CHANGES TO THE TERMS:

When using the Site and Services, you agree to abide by the current version of the Terms in effect on the date of use. The RaisingCapital.com reserves the right to modify the Terms and other policies and procedures governing the Service at any time, without notice or liability, by posting the modified Terms, policies, or procedures to the Site at its sole discretion. The date of any effective changes will be noted at the bottom of this page, and we will provide you with information regarding any changes made upon request. Your continued use of the Services after the modified Terms have been posted or provided to you constitutes your agreement to be bound by the current Terms.

As of April 26, 2023, these Terms replace the previous terms of December 30, 2021.
